Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may be subject to interest charges as permitted by law.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of services.
We strive to provide high-quality services but make no warranties regarding the results of our services. Our services are provided "as is" without warranties of any kind, either express or implied, except as specified in separate service agreements.
To the maximum extent permitted by law, GuHe Tech Guardians shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
You agree to indemnify and hold harmless GuHe Tech Guardians, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services or violation of these Terms.
Either party may terminate services upon written notice as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Wuhan, Hubei Province, China.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with any separate service agreements, constitute the entire agreement between you and GuHe Tech Guardians regarding the use of our services and supersede all prior agreements and understandings.
